1. Parties and acceptance
1.1. This agreement is made between Taha Erel (support@reseryo.com; "Reseryo") and the individual or entity that creates a business account on Reseryo (the "Business").
1.2. The person registering confirms that they are authorised to represent the Business and to accept this agreement on its behalf, and that the Business offers its services in the course of its trade or profession.
1.3. The agreement is formed when you accept it, together with the Data Processing Addendum (Annex 1), by ticking the box during registration. The date of acceptance and the version accepted are recorded.
2. Definitions
- Panel: the business management interface (web and mobile).
- Customer: a person with a booking made through the Platform or entered by the Business in its panel.
- Team member: a user the Business invites to its panel.
- Plan: the service level that sets features and quotas.
- Business Content: text, images, prices, menus and other content the Business uploads.
3. Application, verification and approval
3.1. To open a business account, the owner's e-mail address is verified. The application is then reviewed by Reseryo.
3.2. Reseryo may approve the application, ask for further information or documents, or reject it. If it rejects it, it gives reasons unless the law prevents this.
3.3. While approval is pending, the panel can be used only for setup. The listing is not published and no bookings are taken.
4. Scope of the service and Reseryo's role
4.1. Reseryo provides the Business with an online listing and directory visibility; management of services, staff, resources, sessions and stays; booking request intake, a calendar, customer records, reviews, notifications and the other tools included in its plan.
4.2. Reseryo is an intermediary technology provider. It is not a party to the service contract between the Business and its customer. The Business provides the service, sets the price, receives the payment and is responsible to the consumer.
4.3. Reseryo does not currently change directory ranking in exchange for payment. Ranking is based on criteria such as search terms, country, city and category filters, and order of registration. If paid promotion is introduced, this section will be updated beforehand.
5. The Business's obligations
The Business undertakes to:
- keep its legal name, authority, contact details, address, services, prices, durations, availability and policies accurate and up to date;
- hold, and keep, all licences, permits, professional qualifications, registrations and insurance its services require;
- comply with consumer law and with price display, tax and invoicing rules, and show its cancellation, deposit, no-show, refund and age-limit terms clearly before booking;
- deliver its services in line with what it publishes, and not decline or cancel bookings in a discriminatory, misleading or systematic way;
- use the Platform only for lawful purposes.
6. Team, roles and account security
6.1. The business owner can invite team members to the panel with the owner, manager, staff or viewer role. Everything a team member does in the panel is treated as done by the Business.
6.2. The Business must limit access to what each person needs for their work, remove access promptly when someone leaves, and keep login details safe.
6.3. Two-step verification is optional for business users and strongly recommended. The business owner can make it mandatory for the whole team.
6.4. Suspicious access must be reported to support@reseryo.com without delay.
7. Managing bookings
7.1. Appointment, table and stay bookings that come through the Platform are requests. The Business reviews them within the approval period it sets; requests not answered in time expire automatically. Group-session seats are confirmed instantly.
7.2. The Business may enter bookings manually in the panel. Manual bookings count against the plan's manual quota.
7.3. The Business cannot switch off the following platform protections or set rules that conflict with them: overlap and daily request limits, the customer's rights to cancel and reschedule, the timing rules for marking no-shows, the customer's right to dispute, and the restriction rules.
7.4. A no-show may be recorded only on the basis of actual attendance, after the start time and within 72 hours. A mistaken record must be reversed with a reason. If a record is disputed, the Business provides the information Reseryo reasonably asks for, and Reseryo decides the dispute. Misleading or systematically inaccurate no-show marking is a material breach of this agreement.
7.5. The Business's cancellation, deposit and no-show rules must be visible in advance, proportionate and lawful. Collection and refunds take place between the Business and the customer, outside Reseryo.
7.6. Bookings, notifications and reminders are delivered on a best-effort basis. The Business monitors its panel regularly for its own operations.
8. Plans, quotas and fees
8.1. Reseryo may offer free and paid plans. Current features and quotas are shown before a plan is chosen.
8.2. Customers are never blocked from booking when the monthly online booking quota is reached; the Business receives a notice and an upgrade suggestion. When the manual quota is reached, no new manual bookings can be entered in the panel.
8.3. Paid plans are taken out through a separate confirmation and payment process. Payment may be collected by a payment provider acting as merchant of record (currently planned: Paddle) or by Reseryo; in the first case that provider's terms of sale also apply. Reseryo never moves a free account to a paid plan without the Business's approval.
8.4. Price increases and plan changes that disadvantage the Business are announced at least 30 days in advance. The Business may end its subscription before the change takes effect.
8.5. Unless stated otherwise, prices exclude taxes. If fees go unpaid, paid features may be stopped 7 days after notice.
9. Business Content, licence and reviews
9.1. The Business confirms that it holds all rights needed in the content it uploads and that the content does not infringe anyone else's rights.
9.2. For the term of this agreement and a reasonable transition period after closure, the Business grants Reseryo permission to use Business Content on the Platform, in the mobile apps, in structured data provided to search engines, in the directory and in promoting Reseryo. The permission is worldwide, royalty-free, non-exclusive and sublicensable, and covers hosting, reproducing, displaying, and resizing or reformatting. The Business can opt out of promotional use by written notice.
9.3. Only customers with a completed booking on the Platform can leave reviews. The Business cannot edit or delete individual reviews. The business owner can hide all comment text; the star average is still shown. The Business must not create, buy or procure fake, incentivised or self-serving reviews.
9.4. The Business can report a comment it believes breaks the rules to Reseryo from the panel. Reseryo decides whether the comment is taken down; the star rating of a removed comment stays in the average.
9.5. Reseryo may remove or restrict content that is unlawful or breaches this agreement, on notice or on its own initiative, and gives reasons unless the law prevents it.
10. Customer communications and marketing messages
10.1. The Business uses customers' contact details only for the booking and service relationship.
10.2. If the Business sends promotional SMS, e-mails or calls, obtaining the consent required under Turkish Law No. 6563 and meeting its İYS obligations is entirely the Business's responsibility. Reseryo does not send marketing messages on the Business's behalf.
11. Data protection
11.1. The Business is the data controller for its customer, booking, form response, note, additional guest, staff and finance records. Reseryo processes that data as a processor under Annex 1.
11.2. Reseryo is an independent controller for Platform accounts, security, abuse prevention, cross-business no-show restrictions, publishing reviews, support and its own legal obligations.
11.3. The Business is responsible for informing its customers and staff about its own processing, for having a valid legal basis, and for keeping the records it must retain by law outside the Platform as well. Reseryo is not a medical records, accounting or archiving system.
12. Health and other special-category data
12.1. Health-related booking fields may be used only by healthcare businesses legally entitled to process such data, and only as far as the service genuinely requires.
12.2. The Business is responsible for data minimisation, a separate privacy notice, separate and unticked explicit consent where needed, a parent or guardian process for under-18s, and restricting access.
12.3. General terms, or a mandatory general consent box, are not a substitute for explicit consent.
13. Confidentiality
Each party keeps confidential any non-public information it learns through this agreement, during the agreement and for 2 years after it ends. Disclosures required by law are excepted.
14. Service levels and changes
14.1. The service is provided as is. Reseryo takes reasonable care, but does not commit to a particular uptime, to uninterrupted or error-free operation, or to any number of bookings or amount of revenue.
14.2. Reseryo may suspend the service temporarily for maintenance and security.
14.3. Reseryo may improve or change features. Material changes that affect the Business adversely are notified under Section 18.
15. Suspension, closure and termination
15.1. Reseryo may suspend or restrict an account immediately for: material breach, misleading information, unlawful use of customer data, fake reviews, systematically inaccurate no-show records, a security risk, unpaid fees or a legal requirement. While suspended, the listing is taken offline and the panel is locked. Unless the law prevents it, Reseryo gives reasons no later than the moment of suspension. The Business can appeal through support@reseryo.com.
15.2. Reseryo may end the agreement without cause by giving at least 30 days' written notice.
15.3. The business owner can close the business at any time from Settings in the panel. Upcoming active bookings must be cancelled first. Closing the business has these effects:
- The listing, booking page and directory entry are removed immediately, and the business is removed from customers' favourites.
- The panel is locked for the whole team and pending invitations are deleted.
- 30 days after closure, the personal data of customers, staff and guests is irreversibly anonymised. The date, service, price and status of bookings remain, without personal data.
- During those 30 days, Reseryo can reopen the business at the Business's request. After anonymisation it can no longer be reopened.
15.4. Before closing, the Business must take any records it needs for its own legal retention obligations, using the panel's exports or by contacting support.
16. Limitation of liability
16.1. Reseryo's total liability under this agreement is limited to the fees the Business paid Reseryo in the 12 months before the event giving rise to the claim. On a free plan the limit is TRY 1,000.
16.2. Reseryo is not liable for indirect loss, loss of profit, revenue, customers or goodwill, or for loss of data; for data loss, Reseryo's obligation to keep reasonable backups still applies.
16.3. These limits do not apply to intent or gross negligence, to harm to life, body or health, or where the law does not allow liability to be limited.
17. Indemnity
The Business will indemnify Reseryo against third-party claims, administrative fines and reasonable legal costs arising from: its services; its pricing and payments; Business Content; its unlawful processing of customer data; its marketing practices; or its breach of this agreement. Reseryo notifies the Business of any claim without delay and cooperates reasonably in the defence. Anything caused by Reseryo's own fault is excluded.
18. Changes to this agreement
18.1. Changes are announced by e-mail and panel notice at least 15 days before they take effect, and at least 30 days before for price increases.
18.2. For material changes, acceptance is requested at the next sign-in. A Business that does not accept may end the agreement at no extra cost before the effective date.
18.3. Changes needed for legal compliance or security may apply sooner.
19. Governing law, mediation and jurisdiction
19.1. This agreement is governed by Turkish law. Any mediation the law makes mandatory still applies.
19.2. For Businesses that are merchants (tacir), the statutory jurisdiction rules apply. For Businesses that are not merchants, the statutory jurisdiction rules apply.
19.3. Businesses established in the EU keep their rights under the EU Platform-to-Business Regulation (2019/1150).
20. Miscellaneous
20.1. Notices are sent to the panel e-mail address, the registered address or the KEP address.
20.2. The Business may not assign this agreement without Reseryo's written consent. If the Platform is transferred, Reseryo may assign this agreement with notice.
20.3. Reseryo's records are evidence, without prejudice to the right to produce evidence to the contrary.
20.4. If any provision is held invalid, the rest remain in effect.
20.5. The annexes form an integral part of this agreement.
ANNEX 1: DATA PROCESSING ADDENDUM
1. Subject matter and duration. Reseryo processes personal data on the Business's behalf to provide booking and customer management, for the term of the agreement and the 30-day period in Section 15.3.
2. Data subjects. Customers, additional guests on bookings, guests, and the Business's staff.
3. Categories of data. Identity, contact, booking and stay details, form responses and notes, reviews, no-show and cancellation records, staff names and titles, finance records and, where the Business enables them, health notes.
4. Instructions. Reseryo processes the data only on the Business's documented instructions. This agreement and actions taken in the Panel count as instructions. Reseryo informs the Business if it believes an instruction is unlawful.
5. Customers' own actions. The Business instructs Reseryo to:
- carry out customers' own actions on the Platform (cancelling, rescheduling, reviews, reminder preferences);
- when a customer deletes their Reseryo account, anonymise that customer's identity and contact fields in the Business's records as well.
6. Confidentiality. Personnel with access to the data are bound by confidentiality.
7. Security. Reseryo applies measures appropriate to the risk: encryption in transit, role and tenant separation (row-level authorisation), access logging and audit, backups, mandatory two-step verification for platform administrators, and storage of secrets as hashes.
8. Sub-processors. The Business gives general authorisation for the sub-processors listed in the Privacy Notice (Supabase, Railway, Vercel, Sentry, Hostinger, Expo, Apple, Google). Reseryo notifies the Business at least 15 days before adding a new sub-processor. A Business that objects on reasonable grounds may terminate without charge. Reseryo imposes on sub-processors obligations at least as protective as this Annex.
9. International transfers. The Business authorises transfers to the countries where the sub-processors are located. Information on the safeguards applied to these transfers is available from support@reseryo.com.
10. Data subject requests. Reseryo forwards to the Business, without delay, any request that should go to it, and provides reasonable technical assistance.
11. Breach notification. If Reseryo becomes aware of a breach affecting the Business's data, it notifies the Business without undue delay, and where possible within 48 hours, sharing the details it knows. Notifying the Board and data subjects is the Business's responsibility.
12. Audits. Reseryo provides information demonstrating compliance. On-site audits may take place at most once a year, with 30 days' notice, at the Business's cost. Written questionnaires are used first.
13. End of processing. Data is anonymised as described in Section 15.3. Copies in backups are deleted through the backup cycle within 14 days at the latest. Statutory retention obligations still apply.
